Brian Stafford
President & CEO, Diligent Corporation

Brian Stafford is Chief Executive Officer of Diligent Corporation. Mr. Stafford assumed the role of CEO in March 2015 and is responsible for all day-to-day operations, with a focus on accelerating global growth and incorporating scale into the business in order to seamlessly manage the growth. Mr. Stafford previously served as a Partner at McKinsey & Company, where he founded and led their Growth Stage Tech Practice. While there, he concentrated on helping Growth Stage Technology companies scale faster and did extensive work with Software-as-a-Service (SaaS) companies, focusing on growth strategy, sales operations and strategy, pricing, international growth strategy and team building. Prior to his tenure at McKinsey, Mr. Stafford was the Founder, President and CEO of CarOrder, a division of Trilogy Software based in Austin, Texas. Mr. Stafford holds a Master’s Degree in Computer Science from the University of Chicago and a BS in Economics from the Wharton School at the University of Pennsylvania. He currently lives in Manhattan.

Merline Saintil
Technology Leader, Business Executive and Independent Board Director on the boards of Banner Bank and LightspeedHQ

Merline Saintil is a seasoned executive with a proven track record of operationalizing strategy and developing global award-winning products in iconic Fortune 500 and privately held companies including Intuit, Yahoo!, PayPal, Adobe, Joyent, and Sun Microsystems. She enjoys advising CEOs and has led and scaled product development teams in global digital transformations for B2B and B2C companies, and executed M&A integrations and divestitures. She was part of the leadership team taking Change Healthcare public in 2019 as COO, R&D-IT.

She currently serves on the boards of Banner Corporation [NASDAQ: BANR] and ShotSpotter, Inc [NASDAQ: SSTI]. She advises both companies on technology trends, innovation, strategy, cyber risk, digital transformation, to name a few. She is a member of the Risk, Compensation and Audit Committees and is certified in Cybersecurity Oversight by NACD and the Carnegie Mellon Software Engineering Institute. She is passionate about coaching emerging leaders, especially supporting girls and underrepresented youth in leadership and technology. Outside of her business interest, Merline has been recognized by her community, including:

Dr. Romules Durant
CEO/Superintendent, Toledo Public Schools

Dr. Romules Durant has a special connection to Toledo Public Schools – one like no other. He graduated from Morrison R. Waite High School in 1994 and after earning his bachelor’s degree from the University of Toledo in 1999, he became a fourth grade teacher for Toledo Public Schools. In fact, he has spent his entire professional career working for the district. After his years as a teacher, he became a dean, an assistant principal, an elementary school principal and an assistant superintendent before being named CEO/Superintendent in December 2013. Dr. Durant has made it his mission to share the good news of TPS in the community. For him, TPS Proud isn’t just a catch phrase, it’s something he lives each day – plus, he wears it on his collar and sleeve. When Dr. Durant became superintendent, he set aggressive goals for the district and introduced a new mission statement that shows his ultimate goal for all students - that they become competitive college and career ready graduates. Since Dr. Durant became superintendent, the district has seen the graduation rate jump 21 percent for all students and closed the achievement gap between Caucasian and African American students. TPS has also recorded an increase in enrollment. In addition to the graduation rate increases, Dr. Durant has worked with his team to add Career Technology programs that provide students with an introduction to possible career options in some of the most sought after industries in northwest Ohio. To make sure that all students can find the best school to foster their talents. Dr. Durant has overseen the creation of thematic schools: four STEMM-based elementary schools, Jones Leadership Academy of Business and the Aerospace & Natural Science Academy of Toledo. The latter two are aimed at preparing high school students for high-tech jobs of the future. Future plans include the introduction of a high school focused on medical careers for students. The continuing momentum throughout Toledo Public Schools can be attributed in large part to Dr. Durant’s visionary approach to running an urban school district. He has never lost sight of the fact that he has the same goal for today’s TPS students as he had for himself - to rise up from modest means to achieve success first in school and then in life.

Earl Warwick

Earl is currently the Chair of the Board of Directors of TCU Financial Group, and has been on the Board since 2003, serving as the Chair since 2014.TCU has embraced the technology of Diligent and enjoyed the ability to communicate securely that Diligent Messenger provides. Earl is a CPA, CMA who graduated with a Commerce degree from the University of Saskatchewan and has held progressively responsible finance and operations roles having worked for Imperial Oil, Viterra, Marsollier Petroleum, the Saskatoon Police Service and also having operated a successful management consulting business.

Stephanie Mansfield
Board Vice Chair, TCU Financial group

Stephanie Mansfield is in her eighth year and currently serving her third term on the Board of Directors for TCU Financial Group. She has been serving as the Vice Chair for the last three years. In Stephanie’s role as Director she serves on many of the Committees (Audit, Risk, Governance, CEO Compensation, Executive Committee). Helmut Poellinger has been with the Diligent Group since 2011 and in his current role in the Diligent headquarters, since July 2019. He is responsible for the global commercial team regarding Diligent Secure Files and Meeting workflow as the foundation of the Diligent Leadership collaboration suite. Helmut was a founder of a SAAS specialized company in Europe and joined the group via an acquisition. He started his career in the software industry in Europe at a leading CRM firm later to join the leadership team of a German web conferencing service provider. He is an author, software enthusiast and eager to always bring value to customer relationships and to help clients thrive.Helmut is a graduate of Vienna University of Economics and Business, Austria, and holds an MBA from IMADEC University / University of Texas at Austin. He lives in NYC and Vienna currently and is inspired by the great cultural experience he is able to make.

Lisa Pascoe
Vice President, Governance & System Effectiveness, Sparrow Health Systems

Lisa Pascoe has been in the field of Healthcare Management for almost 30 years in a variety of settings including primary care hospitals, tertiary hospitals, health system corporate offices and health maintenance organizations. She is currently the Vice President, Governance & System Effectiveness as well as Secretary, Board of Directors, for Sparrow Health System. Her responsibilities in this position include corporate recordkeeping, Board portal administration, governance recruitment, orientation/training, continuing education, evaluation, service recognition, and meeting support in addition to support for the President and CEO of Sparrow Health System in all areas of governance. Her current work also includes executive project management, especially around increasing the efficiencies and effectiveness of functioning as a Health System. In addition to her governance role with Sparrow, Lisa has been a member of The Governance Institute’s Governance Support Editorial Board, which provides expertise to the Research & Publications arm of The Governance Institute, since 2012.Immediately prior to this position she was a Vice President with St. Lawrence Hospital and Healthcare Services (a division of Trinity Health). She earned her Bachelors of Science degree in Engineering Arts (now known as Applied Engineering) from Michigan State University and her Masters degrees in both Health Administration and Business Administration from the University of Michigan’s School of Public Health and Ross School of Business.

Larry Clinton
President & CEO, Internet Security Alliance

Mr. Clinton is President and CEO of the Internet Security Alliance which represents 25 major organizations from virtually every critical infrastructure sector. The Mission of the ISA is to integrate advanced technology with economics and public policy to create a sustainable system of cyber security. ISA has three goals, thought leadership, policy advocacy and promoting the use of effective standards practices and for cyber security. Mr. Clinton teaches a graduate course in cyber risk management at the Wharton School. He also teaches master Classes in cyber risk management for the National Association of Corporate Directors (NACD) and provides training for the Federal Reserve. He holds a certification in executive risk management from Carnegie Mellon. He literally wrote the book on cyber risk management for boards -- specifically the Cyber Risk Management Handbook published by the NACD. He has twice been named to the “Corporate 100” – the most influential individuals in corporate governance. The Cyber Risk Handbook is the only private sector publication endorsed not only by NACD but by DHS and DOJ. ISA has also produced a German edition of the Handbook which has been endorsed by the German government and the World Economic Forum requested ISA produce a Spanish language edition of the cyber risk handbook which the OAS has endorsed and will begin distributing throughout Latin America this year. Price Waterhouse independently assessed the effectiveness of the Handbook in its annual Global Information Security Survey and found use of the handbook led to increased cyber risk budgets, better risk management, closer alignment of cyber risk policy with overall business goals and helping to create a culture of security within the organizations that use it. Mr. Clinton is also the primary author of the 3 editions of the Cyber Security Social Contract. The market oriented public policy recommendations in these books were endorsed both by the House GOP Task Force on cyber security and were also the basis of President Obama's Executive Order on Cyber Security which led to the creation of the NIST Cyber Risk Framework and enacting legislation using liability incentives, instead of government mandates, to incentivize information sharing. The US State Department has sponsored Mr. Clinton on various international trips to promote the use of the concepts in the Cyber Social Contract including India, Latin America and the NATO Cyber Center of Excellence in Estonia. Mr. Clinton has served on a wide variety of boards and advisory commissions including the IT Sector Coordinating Council where he served two terms as Chair, The Center for Audit Quality's Cyber Advisory Committee and the Better Business Bureau's Small Business Advisory Board. Mr. Clinton has testified numerous times before Congress and has been a featured expert on cyber security in virtually every major media outlet ranging from NPR to Fox Business News, WSJ, NYT, CBS, CNBC, CNN, CNN International and MTV in India.

Over his twenty-year career, Reyner has worked with thousands of companies and legal departments across the country and internationally, developing a thorough understanding of legal operations and managing the business of law. Reyner has contributed many articles and information on corporate legal topics and has served on a number of expert panels across the country. He has presented on a variety of topics, including legal practice management, corporate compliance and governance, mergers and acquisitions, litigation and spend management, and legal technology. Reyner is active in national and local industry organizations and committees. Reyner has also acted on several occasions as a volunteer Guardian Ad Litem working with the Delaware Office of Child Advocates and serves on the board of a local non-profit organization for historical preservation. Reyner received his Juris Doctor with a concentration in Business Organizations from Widener University School of Law in Wilmington, Delaware and was admitted to the Delaware Bar in 2005.

He is currently a member of the Corporate Laws Committee of the American Bar Association and the National Asian Pacific American Bar Association. Until recently, Pamela Passman was President of the Center for Responsible Enterprise and Trade (CREATe.org) and Vice Chair of the Ethisphere Institute, distinct entities with a common mission to promote leading practices and provide solutions to manage key governance, compliance and risks for companies and their global value chains. Prior to founding CREATe.org in October 2011, Pamela was the Corporate Vice President and Deputy General Counsel, Global Corporate and Regulatory Affairs, Microsoft Corporation. From 2002 to 2011, Passman led Microsoft’s regulatory compliance work across a range of issues, including privacy, security, law enforcement, national security, telecommunications and other issues related to cloud computing. She also led Microsoft’s global government relations and public policy work and philanthropic programs and had leadership responsibilities for its cross-company global corporate citizenship efforts. Pamela first joined Microsoft in 1996 and until 2002 led the Legal and Corporate Affairs organization in Asia, based in Tokyo, with a focus on Japan, Korea and the People’s Republic of China. Prior to joining Microsoft, she practiced law with Covington & Burling in Washington, D.C. and Nagashima & Ohno in Tokyo, Japan. Beginning in March 2020, Pamela is a Senior Associate (Non-Resident) at the Center for Strategic and International Studies with the Simon Chair on Political Economy. Pamela serves on the Board of Kinaxis Inc., a Toronto-listed SAAS supply chain management company, and served on the Board of IO, a data center infrastructure/cloud computing company that was sold to Iron Mountain in 2018. She currently serves on the Board and as Vice Chair of Kids in Need of Defense (KIND), a non-profit providing pro bono legal services to unaccompanied minors before immigration authorities. Pamela also serves on the Board of Trustees of Lafayette College and chairs its Student Life Committee. She is a member of the Council on Foreign Relations and serves on its Nominating and Governance Committee. Prior to her role at Entities, Kristin served as Vice President of Client Success at BoardEffect, and previously held multiple client success roles at Planalytics, where she directed teams in North America and Europe. She is passionate about delighting customers, especially through collaborating and sharing best practices.Kristin is a graduate of Pennsylvania State University, and still enjoys a stop at the Creamery when she's in town or cheering for the hockey team. She lives in the Philly area, but travels whenever she can to meet clients, experience different places, and try new foods.

Kris Charik

Kris is a Director in PwC’s Entity Governance and Compliance (EGC) team based in London and is a qualified Governance Professional (FCIS) with over 10 years experience. The EGC team provides a full range of governance, transactions and compliance services to clients across the listed, inbound, private business and FS sectors. Kris has extensive experience in the provision of governance, transaction and compliance services to clients in different markets both in the UK and globally. Governance services typically include the provision of Board and Committee support, Board and Governance effectiveness reviews, Director training and Governance oversight.Transaction services typically include intra-group reorganizations and transaction related company secretarial activity such as: preparing corporate structuring documentation, advising and preparing documentation in respect of dividends/distributions and returns of capital; and company formations and branch registrations.Compliance services typically include preparation and submission of statutory corporate secretarial returns with Companies House in order to keep a company in good standing as well as preparation of any accompanying Board minutes and resolutions.Before returning to UK, Kris led the EGC practice in the Middle East from Dubai and during his 5 years in the region he worked closely with locally headquartered Sovereign Wealth Funds, large locally owned/government organizations and oversees headquartered multinationals coming inbound to the region.

Ken Surdan serves as the Chief Product Officer for Diligent Corporation. He is responsible for all aspects of product development including strategy, product management, user experience, software engineering and technical operations. He works closely with the go-to-market teams to build outstanding products for our customers and markets. Ken has over 20 years of C-level technology and product leadership experience, in private and public companies. Most recently he was the Chief Product officer of Endurance, and before being acquired by Endurance, he filled the same responsibilities at SaaS leader Constant Contact. He has extensive experience in building outstanding product teams that build market leading products in multiple high growth markets. Ken received his BS degree from Boston University and an MBA from Babson College. He is based in the Diligent New York City headquarters.

Merline Saintil is a seasoned executive with a proven track record of operationalizing strategy and developing global award-winning products in iconic Fortune 500 and privately held companies including Intuit, Yahoo!, PayPal, Adobe, Joyent, and Sun Microsystems. She enjoys advising CEOs and has led and scaled product development teams in global digital transformations for B2B and B2C companies, and executed M&A integrations and divestitures. She was part of the leadership team taking Change Healthcare public in 2019 as COO, R&D-IT.

She currently serves on the boards of Banner Corporation [NASDAQ: BANR] and ShotSpotter, Inc [NASDAQ: SSTI]. She advises both companies on technology trends, innovation, strategy, cyber risk, digital transformation, to name a few. She is a member of the Risk, Compensation and Audit Committees and is certified in Cybersecurity Oversight by NACD and the Carnegie Mellon Software Engineering Institute. She is passionate about coaching emerging leaders, especially supporting girls and underrepresented youth in leadership and technology. Outside of her business interest, Merline has been recognized by her community, including:

Wes Moore
Chief Executive Officer, Robin Hood Foundation

Wes Moore is the Chief Executive Officer of Robin Hood, one of the largest anti-poverty forces in the nation. He is a bestselling author, a combat veteran, and a social entrepreneur. Wes’ first book, “The Other Wes Moore,” a perennial New York Times bestseller, captured the nation’s attention on the fine line between success and failure in our communities and in ourselves. That story has been optioned by executive producer Oprah Winfrey and HBO to be made into a movie. He is also the author of the bestselling books “The Work,” “Discovering Wes Moore,” “This Way Home” and the recently released, “Five Days.” Wes grew up in Baltimore and the Bronx, where he was raised by a single mom. Despite childhood challenges, he graduated Phi Theta Kappa from Valley Forge Military College in 1998 and Phi Beta Kappa from Johns Hopkins University in 2001. He earned an MLitt in International Relations from Oxford University as a Rhodes Scholar in 2004. Wes then served as a captain and paratrooper with the U.S. Army’s 82nd Airborne Division, including a combat deployment to Afghanistan. He later served as a White House Fellow to Secretary of State Condoleezza Rice. Before becoming CEO at Robin Hood, Wes was the founder and CEO at BridgeEdU, an education platform based in Baltimore addressing the college completion and job placement crisis by reinventing freshman year for underserved students. BridgeEdU was acquired by Edquity, a Brooklyn-based student financial success and emergency aid firm, in June 2019. Wes has also worked in finance as an investment banker with Deutsche Bank in London and with Citigroup in New York. Wes lives in Baltimore with his wife and two children.
